Desktop End User License Agreement

By purchasing, downloading, installing, or using the font files provided by Local Type Co. (the “Font Software”), you agree to the terms of this End User License Agreement (“Agreement”).

1. License Grant
Local Type Co. grants you a non-exclusive, non-transferable license to install and use the Font Software according to the number of Font Users covered by your purchase.

The license itself may not be transferred to another person or entity. Final artwork created using the Font Software may be delivered to clients and other third parties as permitted by this Agreement.

2. Font Users
A Font User is any person who installs or uses the Font Software. The Font Software may only be used by the number of Font Users specified in your license.

If additional people need to install or use the Font Software, you must purchase the appropriate license extension.

3. Permitted Uses
You may use the Font Software to create logos and visual identities, printed materials, packaging, advertising, social media content, presentations, signage, merchandise, video, motion graphics, and other visual communications.

You may convert text to outlines or other static vector or raster graphics and modify those graphics as part of your design work.

4. Client Work
You may use the Font Software to create work for clients.

Your client does not need a separate Desktop License to receive or use final artwork in which the type has been converted to outlines, rasterized, embedded in a permitted document format, or otherwise does not include usable copies of the Font Software.

If your client needs to install or directly use the Font Software, they must obtain their own appropriate license.

5. Contractors and Third Parties
You may not distribute or share the Font Software with clients, contractors, agencies, freelancers, printers, production partners, or other third parties unless their use is separately licensed.

Files provided to third parties must not contain extractable or otherwise usable copies of the Font Software, except where expressly permitted by this Agreement.

6. Embedding
This Desktop License does not permit the Font Software to be embedded in websites, web applications, mobile applications, desktop applications, software, games, or other products or services that make the Font Software available for dynamic use.

These uses require the appropriate Web, App, Server, or other applicable license.

7. Modifications
You may modify outlined or rasterized representations of the typeface as part of your design work.

You may not modify, reverse engineer, rename, convert, adapt, or create derivative font software from the Font Software itself without written permission from Local Type Co.

8. Font Files
You may make reasonable backup copies of the Font Software for archival purposes.

You may not sell, sublicense, distribute, share, rent, lend, give away, or otherwise make the Font Software available to another party except as expressly permitted by this Agreement.

9. Ownership
The Font Software and the designs embodied in it remain the intellectual property of Local Type Co.

Purchasing a license grants you specific rights to use the Font Software; it does not transfer ownership of the Font Software or its intellectual property rights.

10. Termination
This license remains valid unless you breach its terms.

If this Agreement is terminated because of a breach, you must stop using the Font Software and delete all copies in your possession or control.

11. Warranty and Liability
The Font Software is provided “as is.” To the maximum extent permitted by applicable law, Local Type Co. is not liable for indirect, incidental, special, or consequential damages arising from its use.

12. Other Uses
Uses not covered by this Agreement may require an additional license. Contact Local Type Co. if you are unsure whether your intended use is covered.
